Terms and Conditions
The Terms and Conditions below set out the basis of the all agreements for the manufacture of knitwear by EKOKNITWEAR for you.
Any order you wish to place will be between EKOKNITWEAR LIMITED (CRN 16187750 ) a duly incorporated company having its registered office at Weekfield Farm, Armoor Lane, Exton Dulverton TA229LD United Kingdom (“the Company”) and you as the person or entity that requests us to make any item or items of knitwear.
When you place an Order with us :
(a) you are confirming that you have read and accepted our Terms and Conditions of manufacture; and
(b) you will be providing us with your personal information;
We will use your personal information to process your Order and deliver the Product(s) ordered to you. Your personal information will subject to the terms of our Privacy Policy.
- Key Terms
In the agreement between us :
“Deposit” means 50% of the Net Sales Price inclusive of VAT of the Purchase Order;
“Design” means the design that has been developed for the Products in accordance of your specification;
“Development Cost” means the Design and program, swatch make up, pattern drafting and garment make up for the first sample of the Product (one size);
“Due Date” means the date of the completion of the Purchase Order;
“Intellectual Property Rights” means the Design, know-how copyright, design right and other intellectual property rights of whatsoever nature which were developed by the Company and shall include without limitation any system and processes developed to create the Design;
“Net Sales Price” means the actual price paid by you per item exclusive of any costs of packing, insurance, transport, delivery, sales or value added tax and any other government taxes, duties or levies;
“Products” means the items of knitwear made to your specification from the yarns selected by you in the colourways and quality as set out in the Order Form;
“Purchase Order” means the order for the manufacture of Products as set out in the Order Form and thereafter by e mail communication as to further quantity and colourways as determined from time to time;
“Order Form” the form which you need to complete by clicking this link providing us with details on the items you require;
“Term” means one year from the Effective Date or as renewed by mutual agreement at the expiration of the Term.
- This Agreement shall commence on the Effective Date and unless terminated earlier or extended by mutual agreement shall remain in force for the Term.
- Supply and Manufacture of Knitwear
3.1 In consideration of the Net Sales Price for each item the Company will design program manufacture and deliver the Products to the specification and sizing agreed by you prior to commencement of work as set out in the Purchase Order and deliver all by the Due Date.
3.2 the Company shall during the Term manufacture additional bespoke Products for you customers should you wish to commission the same such Products to be at the same cost.
3.3 the Company shall accept further Purchase Orders of the Products or amendments to the existing Products at no additional cost provided however that you pay for all postage and delivery charges
- Swatches and Sampling
- The Company shall provide swatches of the Design prior to starting on the first sample of the Product to ensure that you are satisfied with the handle and quality of the Products.
- On you being satisfied with the Design and handle of the swatches you will instruct the Company to produce the first sample of the Product to one specified size.
- The Company shall commence work on the first sample for the Development Cost such fee to be offset on completion and payment of the Purchase Order in full.
- You must check the first sample of the Product before confirming the Purchase Order.
3.5 If you do not wish to proceed with the Purchase Order you are still obligated to pay the Development Cost for each sample supplied and you will be entitled to receive one garment from the first sample collection.
3.6 You must provide specific sizing for the additional Products based on the first sample and any amendments required to the finishing of the Products after inspecting the first sample.
- Payment Terms
- Should you wish to proceed with the Purchase Order following inspection of the first sample of the Product you must confirm the Purchase Order.
4.2 On confirmation of the Purchase Order the Company will raise a VAT invoice for the full amount of the Purchase Order and you will pay the Deposit and any additional charges as advised by us
4.3 The balance of the Purchase Order shall be payable on delivery of all the Products to you as set out in the invoice directly to the Company Bank Account
4.4 If you require credit please advise in advance and we will advise you. We make an additional charge for credit.
- CARE INSTRUCTIONS and Certification
5.1 The Company will provide care instructions as for the Products. The instructions are specific for the fibre used in the Product
5.2 If you want specific labelling and hang tags attached to the Products you must supply these to the Company when the Deposit is paid and advise where these should be attached.
6 INTELLECTUAL PROPERTY RIGHTS
6.1 Save where a specific design and knitwear SD program for Shima Seiki is supplied to us all intellectual property rights are owned by the Company. In consideration of the payment of the Purchase Order the Company will grant you an exclusive right to use the Design for the Term.
6.2 You shall only make the Product and use the Design with the Company
7 MISCELLANEOUS
7.1 This Agreement is personal to and for you. It may not be assigned by you
7.2 Any variation to this Agreement must be made in writing
7.3 This Agreement is subject to English law
